Step 1

Plan your folder structure and index

Before you upload a single file, map out the folder hierarchy your deal requires. A typical M&A data room starts with categories like Financial, Legal, Commercial, Operational, and HR — then drills into sub-folders within each. Number every folder and document (e.g., 1.01, 1.02, 2.01) so bidders can reference them precisely in Q&A. A well-structured index saves days of back-and-forth later.

Choose your hosting region

Select the Azure region where your data room will be hosted. If your deal has jurisdiction-specific data residency requirements — GDPR-aligned hosting in the EU/UK, DPDP Act-aligned hosting in India, or region-appropriate hosting in the GCC, Singapore, or North America — choose accordingly. Step 3

Set up administrator and user roles

Create administrator accounts for your internal deal team first. Administrators can manage permissions, invite users, and configure room-wide settings. Then define the user groups you will need — for example, "Bidder Group A," "Legal Advisors," "Accountants." You do not need to invite everyone on day one; groups can be created now and populated as the deal progresses.

Upload and organize documents

Upload files in bulk or folder-by-folder, following the index you planned in step one. As you upload, assign each document to the correct folder and set initial permissions. Most platforms support drag-and-drop bulk upload. Take time to rename files consistently — a clean, predictable naming convention makes due diligence faster for everyone.

Configure watermarking, NDA gating, and access expiry

Before anyone outside your organization sees a document, set up your access controls. Enable dynamic watermarking so every page view carries the viewer's credentials, timestamp, and IP. Invite participants and set up Q&A workflows

Invite bidders, advisors, and other participants into the groups you defined earlier. Assign folder-level permissions so each group sees only what is relevant to them. Enable the Q&A module so participants can ask questions about specific documents or folders — all answered and tracked within the room, not over email. Configure whether Q&A answers are visible to all participants or only to the asker.
