VDR Checklist: What to Look for in a VDR Vendor

Selecting the right virtual data room vendor is one of the most consequential decisions a deal team can make. The platform you choose will safeguard your most sensitive financial, legal, and operational documents throughout due diligence, fundraising, restructuring, or any transaction where information control is paramount. A poorly chosen VDR can lead to data leaks, compliance failures, frustrated bidders, and even collapsed deals. This checklist walks through every category you should evaluate before signing a contract.

Security Certifications and Compliance

Security is the foundation of any VDR. If a vendor cannot demonstrate independent, third-party validation of their security posture, they should not be trusted with your deal documents. Look for:

  • ISO 27001 certification: The international standard for information security management systems. This confirms the vendor has a systematic approach to managing sensitive data and is audited regularly.
